1. Agreement to Terms

These Terms & Conditions ("Terms") govern your use of the Athlytic platform ("Platform," "Service") operated by Athlytic ("we," "our," or "us"). By accessing or using our Platform, you agree to be bound by these Terms.

These Terms apply to two distinct user types:

• Business Users: Businesses that subscribe to and use our Platform to manage their customers
• Customer Users: Customers of Business Users who interact with the Platform through their Business User's account

2. Description of Service

Athlytic provides a software-as-a-service platform that enables businesses to:

• Manage customer relationships and data
• Provide training and instructional services
• Track customer progress and engagement
• Communicate with customers through the Platform
• Access analytics and reporting tools

Important: Athlytic provides the Platform as a service to Business Users. We do not provide training services directly to Customer Users and are not responsible for the quality, safety, or effectiveness of training services provided by Business Users.

3. Business User Terms

3.1 Account Registration

To use our Platform, Business Users must:

• Provide accurate and complete registration information
• Maintain the security of their account credentials
• Be responsible for all activities under their account
• Notify us immediately of any unauthorized use

3.2 Subscription and Payment

Business Users agree to:

• Pay all subscription fees in advance
• Provide accurate billing information
• Authorize automatic billing for recurring subscriptions
• Pay any applicable taxes

3.3 Customer Data Responsibility

Business Users are solely responsible for:

• Obtaining proper consent from Customer Users for data collection
• Complying with applicable privacy laws and regulations
• Protecting Customer User data and privacy
• Responding to Customer User data requests
• Ensuring the accuracy and legality of Customer User data

4. Customer User Terms

Customer Users acknowledge that:

• They are accessing the Platform through their Business User's account
• Their relationship is primarily with their Business User, not Athlytic
• Data-related requests should be directed to their Business User
• Athlytic is not responsible for the training services they receive

5. Acceptable Use

Users agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to the Platform
• Interfere with or disrupt Platform operations
• Upload malicious code or harmful content
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Harass, abuse, or harm other users

6. Intellectual Property

The Platform and its content are owned by Athlytic and protected by intellectual property laws. Users may not:

• Copy, modify, or distribute Platform content without permission
• Reverse engineer or attempt to extract source code
• Use our trademarks or branding without authorization
• Create derivative works based on the Platform

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. Business Users are responsible for:

• Complying with all applicable data protection laws
• Obtaining proper consent from Customer Users
• Implementing appropriate data security measures
• Responding to Customer User data requests

8. Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. We may:

• Perform scheduled maintenance with advance notice
• Implement emergency maintenance when necessary
• Suspend service for violations of these Terms
• Modify or discontinue features with reasonable notice

9. Limitation of Liability

Important: To the maximum extent permitted by law, Athlytic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Athlytic's total liability shall not exceed the amount paid by the Business User for the Platform in the 12 months preceding the claim.

Training Services Disclaimer: Athlytic is not responsible for the quality, safety, effectiveness, or outcomes of training services provided by Business Users to their customers. Business Users are solely responsible for their training services and any claims arising therefrom.

10. Indemnification

Business Users agree to indemnify and hold harmless Athlytic from any claims, damages, or expenses arising from:

• Their use of the Platform
• Their training services to customers
• Violation of these Terms
• Violation of applicable laws or regulations
• Infringement of third-party rights

11. Termination

We may terminate or suspend accounts for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• At our discretion with reasonable notice

Upon termination, Business Users may export their data within 30 days. After this period, data may be permanently deleted.

12. Governing Law

These Terms are governed by the laws of [Your Jurisdiction] without regard to conflict of law principles. Any disputes shall be resolved in the courts of [Your Jurisdiction].

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated to Business Users via email or Platform notification. Continued use of the Platform constitutes acceptance of modified Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
